251Partner(s)&quot;), including but not limited to (i) Fortinet or third party
252computer information or software; (ii) related explanatory materials
253in printed, electronic, or online form (&quot;Documentation&quot;); and (b)
254upgrades, modified or subsequent versions and updates (collectively
255&quot;Updates&quot;), and Software, if any, licensed to you by Fortinet or an
256Authorized Partner as part of a maintenance contract or service
257subscription. (b) &quot;Use&quot; means to access, install, download, copy, or

260(c) &quot;Subscription Period&quot; means the time period in which you will have
261certain rights under this Agreement to use the software and to receive
262Updates. The Subscription Period shall begin on the earlier of sixty
263(60) days after the Software ships from Fortinet or the day you install
264the Software, and shall last for the period of time set forth in the
265Documentation or the applicable transaction documentation from the
266Authorized Partner from which you obtained the Software. If no
267Subscription Period is provided in the applicable documentation, the
268default term shall be one (1) year from the date Fortinet shipped the
269Software. All evaluation copies of the Software shall have a ninety
270(90) day Subscription Period.

2731. Grant of Non-Exclusive License.

2751.1 Grant of License. Subject to Fortinet's receipt of the applicable
276Software license fees, and subject to the terms and conditions of
277this Agreement, Fortinet grants to you the non-exclusive, revocable,
278non-transferable, limited right to use the Software subject to any
279restrictions or usage terms specified on the applicable product
280packaging included as part of the Documentation, on a single computer
281running a validly licensed copy of the operating system for which the
282Software was designed pursuant to a Software License Key. The license
283granted herein shall be valid only for the period of time as specified
284in the Subscription Period. The Software may automatically deactivate
285and become non-operational at the end of the Subscription Period, and
286you will not be entitled to receive any Updates to the Software unless
287the Subscription Period is renewed. Notwithstanding the foregoing, for
288Software which was purchased from an Authorized Partner, certain
289Software functions may be used (without any right to any Software
290updates) after termination of the Subscription Period. Any such use of
291the Software beyond the Subscription period shall continue to be
292governed by this EULA and may be terminated by Fortinet without notice.

2951.2 Software License Key. The Software License Key, which is issued to
296a designated computer, enables you to use the Software on a single
297computer system. For volume purchases the Software License Key issued
298will allow You to use the Software on a the number computers systems
299equal to the total number of purchased licenses. Except as provided in
300Section 1.3 below, You may not modify or create derivative copies of
301the Software or Software License Key.

3041.3 Backup Copies of Software. You may make copies of the Software as
305reasonably necessary for the use authorized above, including as needed
306for backup and/or archival purposes. You may install the Software on a
307single computer system and make copies of the Software as necessary
308only for backup and/or archival purposes. No other copies may be made.
309Each copy must reproduce all copyright and other proprietary rights
310notices on or in the Software.

3132. Intellectual Property Rights Reserved. The Software is protected by
314U.S. and international copyright laws and treaties, as well as other
315intellectual property laws and treaties. Fortinet and its suppliers (if
316any) shall retain all right, title, and interest in and to the
317Software. Your possession, installation, or Use of the Software does
318not transfer to you any rights therein. You must not remove or alter
319any copyright notices on any copies of the Software. This Software copy
320is licensed, not sold. Furthermore, this EULA does not grant you
321any rights in connection with any trademarks or service marks of
322Fortinet. Fortinet reserves all intellectual property rights, including
323copyrights, and trademark rights.

3263. Restrictions on Use. Unless otherwise approved by Fortinet in
327writing, you may not rent, lease, lend, or in any way distribute or
328transfer any rights in this EULA or the Software to third parties
329without Fortinet's written approval and subject to written agreement by
330the recipient of the terms of this EULA. You may not reverse engineer,
331decompile, defeat license encryption mechanisms, or disassemble the
332Software except and only to the extent that such activity is expressly
333permitted by applicable law notwithstanding this limitation. You may
334not permit third parties to benefit from the use or functionality of
335the Software via a timesharing, service bureau or other arrangement.

3384. Updates. The license as provided for in Section 1.1 of this EULA is
339limited to the last version of the Software delivered by Fortinet prior
340to the expiration of the applicable Subscription Period. Fortinet may
341provide you with support services related to the Software. Use of any
342such support services is governed by the Fortinet polices. Any
343supplemental software code or related materials that Fortinet provides
344to you as part of the support services is to be considered part of the
345Software and is subject to the terms and conditions of this EULA. With
346respect to any technical information you provide to Fortinet as part of
347the support services, Fortinet may use such information for its
348business purposes without restriction, including for product support
349and development. Fortinet will not use such technical information in a
350form that personally identifies you. After the Subscription Period has
351expired, you have no further right to receive any Updates without the
352purchase of a new maintenance contract or service subscription.

3555. Termination. This Agreement will terminate immediately and
356automatically without notice if you breach any provision in this
357Agreement. Upon termination you must remove all copies of the Software
358or any part of the Software from any and all computer storage devices
359and destroy all copies of the Software and documentation. At Fortinet's
360request, you or your authorized signatory, will certify in writing to
361Fortinet that all complete and partial copies of the Software have been
362destroyed and that none remain in your possession or under your
363control. The provisions of this Agreement, except for the license grant
364and warranty, will survive termination.

3676. Export Restrictions. The Software is subject to the regulations of
368the United States on export control ( &quot;US Export Administration
369Regulations&quot;). In the absence of necessary governmental authorizations,
370the software cannot be exported or re-exported to individuals or
371entities included on certain lists, or located in certain countries
372subject to US embargo or subject of trade sanctions. You are solely
373responsible for any violation of any relevant legal provisions and you
374confirm you do not appear on the aforementioned restricted lists and
375are not a resident or citizen of a country subject to a U.S. embargo or
376subject to US export licensing.

4149. Disclosure of Personal Information. Upon download of the Software

418MAINTAINED BY FORTINET IN CONFIDENCE IN ACCORDANCE WITH THE COMPANY'S

42210. Governing Law; Arbitration; Entire Agreement. This EULA is governed
423by the laws of the State of California, U.S.A., excluding the
424application of its conflict of law rules. The English language version
425of this agreement is the operative agreement and any translations of
426this agreement are for convenience. The United Nations Convention for
427the International Sale of Goods shall not apply any controversies or
428claims arising from or relating to this Agreement, or the breach or
429validity thereof, which cannot be amicably settled by and between the
430parties, shall be referred to and finally settled by arbitration. The
431place of arbitration shall be Santa Clara, California, pursuant to the
432procedures of Judicial Arbitration and Mediation Services (JAMS), or
433its successor, before a sole, mutually agreeable arbitrator, in
434accordance with the laws of the State of California for agreements made
435in and to be performed in that State. Judgment on the Award may be
436entered in any court having jurisdiction. This EULA is the entire
437agreement between us and supersedes any other communications or
438advertising with respect to the Software Product; this EULA may be
439modified only by written agreement signed by authorized representatives
440of you and Fortinet.

44311. Notice to United States Government End Users. The Software
444and accompanying Documentation are deemed to be &quot;commercial
445computer software&quot; and &quot;commercial computer software documentation,&quot;
446respectively, pursuant to DFAR Section 227.7202 and FAR Section
44712.212, as applicable. Any use, modification, reproduction, release,
448performance, display or disclosure of the Software and accompanying
449Documentation by the United States Government shall be governed solely
450by the terms of this Agreement and shall be prohibited except to the
451extent expressly permitted by the terms of this Agreement.

45312. Free Software. The Software may include software elements that are
454licensed (or sublicensed) to you under the GNU General Public License
455(GPL) or other similar free software licenses. The list free software
456contained in the Software may be viewed in Fortinet's standard product
457end user license agreement, available at the following web page

46113. Audit for Volume Licenses. Fortinet reserves the right to
462periodically audit you to ensure that you are not using any Software in
463violation of this Agreement. During standard business hours and upon
464prior written notice, Fortinet may visit you and you will make
465available to Fortinet or its representatives any records pertaining to
466the Software. The cost of any requested audit will be solely borne by
467Fortinet, unless such audit discloses an underpayment or amount due to
468Fortinet in excess of five percent (5%) of the initial license fee for
469the Software or you are using the Software in an unauthorized manner,
470in which case you shall pay for the cost of the audit.

47314. Miscellaneous. This Agreement sets forth all rights for the user of
474the Software and is the entire agreement between the parties. This
475Agreement supersedes any other communications, representations or
476advertising relating to the Software and Documentation. This Agreement
477may not be modified except by a written addendum issued by a duly
478authorized representative of Fortinet. No provision hereof shall be
479deemed waived unless such waiver shall be in writing and signed by
480Fortinet. If any provision of this Agreement is held invalid, the
481remainder of this Agreement shall continue in full force and effect.
